Artist Revenue & Content Agreement
By checking the boxes below and submitting this form, you ("the Artist") enter into this Agreement with Rukuruzi Music Entertainment Ltd, operator of Starshine.rw ("the Company"), effective from the date of registration.
- 1. Free Access Period: Your artist account is active immediately at no cost for the first 12 months. Subscription terms after this period will be communicated in advance and are not covered by this Agreement.
- 2. Revenue Split: The Artist receives 70% and the Company retains 30% of net revenue from song sales, tips, and advertising (see Clause 6).
Net Payout = (Gross Amount − 6.5% Payment Processing Fees) × 70% ≈ 65.45% of Gross
- 3. Original, Human-Made Work Only (No AI-Generated Content): Every song, cover, and piece of audio uploaded must be the Artist's own original, human-composed and human-performed creative work. Content generated wholly or substantially by artificial intelligence (AI music generators, AI voice cloning/synthesis, or similar tools) is strictly prohibited.
If the Company determines, at its reasonable discretion, that a song is AI-generated, the Company reserves the right to immediately remove the content from the platform and Starshine Live Radio, and to withhold and forfeit any payment owed for that content, since it does not qualify as the Artist's own human-made work.
- 4. Ownership & Proof of Rights: The Artist warrants that they own, or hold full legal rights to distribute, every song uploaded (composition, recording, and any samples or featured contributions). Upon the Company's request, the Artist must provide reasonable proof of ownership — e.g. original session/project files, split sheets, collaborator releases, PRO/collecting-society registration, or a signed ownership declaration — within a reasonable timeframe. Failure to provide proof may result in content removal and suspension of payouts for that content pending verification.
- 5. Mandatory Radio Streaming: The Artist agrees that all songs uploaded to Starshine.rw will also be streamed on Starshine Live Radio as part of the platform's promotional rotation, at no additional cost and with no separate consent required per song, for as long as the song remains active on the platform.
- 6. Advertising Revenue Sharing: Where advertising revenue is attributed to the Artist's content (e.g. ads shown or played around a song, or on Starshine Live Radio while the Artist's song is airing), that ad revenue is shared under the same 70/30 split described in Clause 2. Songs that are played the most and/or generate the most listener engagement will proportionally earn the most from both direct sales/tips and advertising — there is no separate or different formula for ad income.
- 7. Content Removal & Termination: The Company may remove any content, or suspend/terminate an artist account, that violates this Agreement (including Clauses 3 and 4), applicable law, or copyright of third parties — without compensation for the removed content.
- 8. Indemnification & Sole Legal Responsibility: The Artist agrees to indemnify and hold harmless the Company against any claims, damages, or costs arising from a breach of the ownership warranty in Clause 4, including third-party copyright or royalty claims.
If a third party (e.g. the true copyright owner) brings any legal claim, lawsuit, or court action against the Company because a song the Artist uploaded was not actually owned by, or licensed to, the Artist, the Artist alone bears full legal and financial responsibility for that claim — including any damages, penalties, legal fees, or settlement costs. The Company is considered an innocent party in such a case, acting in good faith on the Artist's ownership warranty, and bears no liability. The Artist agrees to reimburse the Company in full for any costs the Company incurs as a result of such a claim.
- 9. Payments & Taxes: Payouts are processed to the Artist's registered payment details on the platform's standard payout schedule and minimum threshold (see Artist Dashboard for current terms). The Artist is solely responsible for any taxes owed on income earned through the platform in their jurisdiction.
- 10. Governing Law: This Agreement is governed by the laws of the Republic of Rwanda.

- 3. Ibikorwa by'Ubuntu, Bikozwe n'Abantu Gusa (Nta AI): Buri ndirimbo cyangwa amajwi wohereza agomba kuba ari igikorwa cyawe bwite cy'ubuhanzi, cyakozwe kandi gikinwa n'umuntu. Ibikorwa byakozwe cyangwa bikinnye ahanini na porogaramu za AI (nk'izikora indirimbo cyangwa ijwi ryigana) birabujijwe rwose.
Niba Ikigo cyabonye ko indirimbo yakozwe na AI, gifite uburenganzira bwo kuyivana ku rubuga ndetse na Starshine Live Radio, no guhagarika/kwanga kwishyura icyo gikorwa, kuko kitabarwa nk'igikorwa cy'umuntu.
- 4. Uburenganzira n'Ibimenyetso byo Kwerekana ko ari ibye: Umuhanzi yemeza ko afite uburenganzira busesuye ku ndirimbo yohereza. Ikigo nigisaba, Umuhanzi agomba gutanga ibimenyetso by'uburenganzira (nk'amadosiye ya orijinali, amasezerano n'abandi bakoze nawe, cyangwa icyemezo cyanditse) mu gihe gikwiye. Kutabitanga bishobora gutuma indirimbo ivanwa no guhagarika kwishyurwa kugeza igihe byemejwe.
- 5. Gutangazwa kuri Radio ni Itegeko: Umuhanzi yemera ko indirimbo zose azohereza ku Starshine.rw nazo zizatangazwa kuri Starshine Live Radio nk'uburyo bwo kuzamura umuhanzi, nta kiguzi kongerewe kandi nta bwemezi bwihariye busabwa kuri buri ndirimbo.
- 6. Igabana ry'Inyungu z'Ubwiyunge (Ads): Igihe amafaranga y'ubwiyunge (ads) ahujwe n'ibikorwa by'Umuhanzi (harimo na Starshine Live Radio), agabanywa hakurikijwe igabana rya 70/30 riri mu ngingo ya 2. Indirimbo zumvwa cyane cyangwa zikoreshwa cyane ni zo zinjiza byinshi, haba ku kugurisha cyangwa ku bwiyunge — nta yindi formule itandukanye.
- 7. Kuvana Ibirimo no Guhagarika Konti: Ikigo gishobora kuvana ikintu icyo ari cyo cyose, cyangwa guhagarika konti y'umuhanzi, mu gihe hari ihohoterwa ry'aya masezerano (harimo ingingo ya 3 na 4) cyangwa amategeko, nta ndishyi itangwa ku birimo byavanyweho.
- 8. Kwishingira n'Uburyozwe bw'Amategeko: Umuhanzi yemeye kwishingira Ikigo ku byatera ibibazo biturutse ku kutubahiriza ingingo ya 4 (uburenganzira ku ndirimbo).

Accord de Revenus et de Contenu pour Artistes
En cochant les cases ci-dessous et en soumettant ce formulaire, vous ("l'Artiste") concluez cet accord avec Rukuruzi Music Entertainment Ltd, exploitant de Starshine.rw ("la Société").
- 1. Période Gratuite : Votre compte artiste est actif immédiatement, sans frais, pendant les 12 premiers mois.
- 2. Répartition des Revenus : L'Artiste reçoit 70%, la Société conserve 30% des revenus nets (ventes, pourboires, publicité — voir clause 6).
Paiement Net = (Montant Brut − 6.5% frais de paiement) × 70% ≈ 65.45% du Brut
- 3. Œuvre Originale et Humaine Uniquement (Pas d'IA) : Chaque chanson téléversée doit être une œuvre originale, composée et interprétée par un humain. Tout contenu généré totalement ou substantiellement par une intelligence artificielle est strictement interdit.
Si la Société détermine qu'une chanson est générée par IA, elle se réserve le droit de la retirer immédiatement de la plateforme et de Starshine Live Radio, et de refuser tout paiement pour ce contenu.
- 4. Propriété et Preuve des Droits : L'Artiste garantit détenir tous les droits sur chaque chanson téléversée et doit fournir, sur demande, une preuve de propriété raisonnable (fichiers de session originaux, accords de collaboration, enregistrement PRO, ou déclaration signée).
- 5. Diffusion Radio Obligatoire : L'Artiste accepte que toutes ses chansons soient également diffusées sur Starshine Live Radio, sans coût supplémentaire ni consentement séparé par chanson.
- 6. Partage des Revenus Publicitaires : Les revenus publicitaires liés au contenu de l'Artiste suivent la même répartition 70/30 décrite à la clause 2. Les chansons les plus écoutées génèrent proportionnellement le plus de revenus, ventes comme publicité confondues.
- 7. Retrait de Contenu et Résiliation : La Société peut retirer tout contenu ou suspendre un compte en cas de violation de cet accord, sans compensation pour le contenu retiré.
- 8. Indemnisation et Responsabilité Juridique Exclusive : L'Artiste s'engage à indemniser la Société pour toute réclamation liée à une violation de la garantie de propriété (clause 4).
Si un tiers (par exemple le véritable titulaire des droits) engage une action en justice contre la Société parce qu'une chanson téléversée par l'Artiste ne lui appartenait pas ou n'était pas dûment autorisée, l'Artiste assume seul l'entière responsabilité juridique et financière de cette réclamation — y compris les dommages, pénalités et frais de justice. La Société est considérée comme partie innocente, ayant agi de bonne foi sur la base de la garantie de propriété de l'Artiste, et n'engage aucune responsabilité. L'Artiste s'engage à rembourser intégralement la Société pour tout coût résultant d'une telle réclamation.
- 9. Paiements et Impôts : Les paiements suivent le calendrier standard de la plateforme. L'Artiste est seul responsable des impôts dus dans sa juridiction.
- 10. Loi Applicable : Cet accord est régi par les lois de la République du Rwanda.
